Francois has more than 20 years of experience as a corporate / M&A lawyer. He has extensive experience with all stages of the transaction process from due diligence to closing. He leads the legal teams working on due diligence as well as vendor due diligence and legal factbook preparation. He also advises on the position in respect of (non)-binding offers, letters of intent and term sheets. He prepares and reviews transaction documentation, such as share purchase agreements, shareholders’ agreements and joint venture agreements, and coordinates the legal elements of a successful closing with notarial colleagues. He has been involved in many corporate M&A and private equity transactions and also often advises on (corporate) real estate deals. He is also actively involved in venture and growth investments (and exits), advising on investment agreements, shareholders’ agreements, convertible loan agreements, SAFEs and employee participation ranging from MIPS to SAR plans.
Francois often acts as legal sparring partner and trusted legal advisor for corporates and their shareholders, as well as investment funds. Combining his M&A experience with an in-depth knowledge of insolvency law he also advises on distressed M&A.
In the Chambers Europe Legal Guide (listing the leading lawyers for business in Europe) François was mentioned on multiple occasions as a key individual in the field of Corporate/M&A. Chambers stated that: "François Koppenol is 'creative in finding solutions that work for everybody,' say clients." The Legal500 also recommended François.
